Avv. Maria Vittoria La Rosa focuses on Italian administrative law. In 2005 she graduated in law from “La Sapienza” University of Rome.
She advises Italian and foreign clients on M&A transactions, finance deals and litigation matters before the Administrative Court and Administrative Authorities, as well as giving extrajudicial advice.
Maria Vittoria has also built up experience in the sectors of commercial authorizations, building and urban planning, hospitality, public tenders, energy, environmental law, life sciences and the digital economy. She has worked with major domestic (i.e. Legacy) and international (i.e. Allen & Overy) business law firms in both Rome and Milan for 9 years, before starting her own consulting business.
Italian administrative law is her key competence, including town planning, building, hospitality, environmental, public contracts energy and business authorisations. Also, she provides assistance before Italian administrative authorities (e.g. independent authorities, ministries and/or municipalities).
Maria Vittoria La Rosa is Member of the Rome Bar Association and joined CBA as Legal Expert in Italy in January 2020.

2014: Assistance to NBC (National Bank of Greece) Pangaea REIC in the acquisition of 100% of the mutual fund “Picasso-Closed End Real Estate Investment Fund Reserved to Qualified Investors”, owning building offices for a total area of 33 thousand sq.m., located in Rome and Milan. Town planning and environmental due diligence on the real estate assets. Assistance on the negotiation of the contracts with the vendors. Value of the deal: € 38 million.
2015: Assistance to VimpelCom (entity controlling WIND Telecom S.p.A.) in the merger between Wind Telecom and H3G S.p.A. Due diligence on pending administrative litigations involving H3G S.p.A. and assistance in relation to the golden share procedure to be activated before the Italian Council of Ministers to have the green-light for the merger. Value of the deal: € 2,45 billion.
2016: Assistance to M&G Real Estate in the acquisition of the 56.600 square metres retail park “Da Vinci Retail Park”, located nearby Rome. Due diligence on town planning, environmental and commercial authorisations and opining on permitting issues. Value of the deal: ˃ € 200 million.
Primark: Assistance to the low-cost retailer in the opening of the first Italian store (within the Arese shopping centre, close to Milan). Negotiating with the developer of the mall the head of terms and the lease of business contract. Assisting in connection with the application for and obtainment of the authorisation to open the store. Value of the deal: up to € 1,000,000.
2017: Assistance to Banca IMI, Crédit Agricole Corporate and Investment Bank, arranging the issuance by TPER (public transportation company operating in Emilia Romagna Region) of its first bond. Opining on the compliance of the issuer with the new criteria set forth under Italian law with respect to companies owned by public entities. Value of the deal: € 95 million.
2018: Assistance to Société Générale, financing Richmond Investment Fund in the acquisition of two real estate properties used as offices located in Milan. Due diligence on town planning assets and assist in the negotiation of the clauses of the facility agreement addressing the issues arisen in the context of the due diligence exercise. Value of the deal: € 49 million.
2019: Assistance to Exactech Inc (a global medical devices manufacturer) in the acquisition of Exactech Italian S.p.a. Due diligence on the procurement contracts entered into with public entities by the target and opining on public procurement related matters. Value of the deal: undisclosed.
Assistance to Viagogo (the online platform for the selling and purchase of tickets for live performances) in the litigation against the Italian Antitrust Authority concerning the € 1,7 million fine issued by the latter. Value of the deal: € 1,7 million.
Assistance to Torre S.G.R. in the disposal of its closed-end real estate investment fund named “Fondo UIU”. The disposal was completed following a competitive procedure. Management of the vendor due diligence process, coordinating the due diligence teams in charge of addressing the bidders’ queries. Value of the deal: € 118,500 million.
